The Plaintiff, complaining of the Defendants above named, would allege as follows:

JURISDICTION

1. The Plaintiff, City of Columbia, (hereinafter “City”), is a municipal corporation organized and existing pursuant to the laws of the State of South Carolina.

2. The Defendant, S. Duane Everett, (hereinafter “Everett”), is a resident of the County of Lexington, State of South Carolina.

3. The Defendant, W.L. Harriford, III, (hereinafter "Harriford"), is a resident of the County of Lexington, State of South Carolina.

4. Defendants Everett and Harriford were principals in a management company holding an exclusive contract to provide operational services in connection with the Rosewood Youth Development Academy (hereinafter "Rosewood") project. That management company had its principal place of business in Richland County, State of South Carolina.

5. Defendants Everett and Harriford received funds from the Plaintiff, for various consulting and management services to be performed in connection with the Rosewood project whose headquarters was in Richland County.

6. Jurisdiction is appropriate in Richland County as the transactions alleged in these pleadings took place in Richland County and the Defendants were principals in the management company located in Richland County, doing business in Richland County.

FACTUAL ALLEGATIONS

7. The City of Columbia extended a commitment for a loan to the Rosewood Youth Development Academy for funding in the amount of $437,147.00, to further Rosewood's establishment of a youth group home in Kershaw County.

8. Pursuant to the provisions of a commitment letter issued to Rosewood Youth Development Academy, said commitment was null and void if any of the terms, conditions or contingencies contained therein, were not met.

9. The purpose of the loan, as stated in Rosewood's application was to obtain permanent financing for a youth group home in the Columbia Empowerment Zone area of Kershaw County. The loan from the City was to be used to obtain this permanent financing and for services to be rendered in furtherance thereof and the loan repaid using those permanent funds.

10. Strategic Management Consultants, LLC, (hereinafter "SMC"), had an exclusive contract with Rosewood to provide operational services for the home.

11. Defendant Everett was the President and Director of SMC, and Defendant Harriford was the Chief Executive Officer and Managing Director of SMC. Both Defendants were also listed in Rosewood's application materials as independent consultants to the Rosewood project.

12. On September 24, 2002, a check in the amount of $22,500.00 was issued to Defendant Everett, personally, for various organizational management expenses and activities to be incurred and performed in connection with the Rosewood project.

13. On September 24, 2002, a check in the amount of $27,500.00 was issued to Defendant Harriford, personally, for various financial advisory services and project coordination to be performed in connection with the Rosewood project.

14. An initial disbursement of the amounts requested, including those requests of Harriford and Everett, amounted to half of the entire commitment budget and were primarily listed as consulting fees for time to be spent working on the Rosewood project.

15. No application was made to secure permanent financing as agreed upon, nor were the contingencies expressed in the commitment letter ever met.

16. Despite the initial draws of over $200,000.00, there is no evidence that those sums were used for their intended purposes nor has the Rosewood project been advanced by this loan.

17. The Rosewood Youth Development Academy project has since been discontinued and no further action has been taken to secure permanent financing.

FOR A FIRST CAUSE

OF ACTION

18. The City would repeat and reiterate each of the foregoing allegations as may

be relevant hereto.

19. Defendants Harriford and Everett received money from the Plaintiff for a special purpose and the money has not been applied to that purpose and that purpose has been abandoned or the specific purpose cannot now be carried out.

FOR A SECOND CAUSE OF ACTION

20. The City would repeat and reiterate each of the foregoing allegations as may

be relevant hereto.

21. A benefit was conferred by Plaintiff upon the Defendants in the form of an initial draw that was received by the Defendants.

22. Defendants Everett and Harriford realized that benefit when they negotiated the checks from the Plaintiff.

23. Retention of that benefit without completing the services for which the money was given would make it inequitable for the Defendants to retain the benefit and amount to unjust enrichment at the City's expense.

24. Despite requests for the return of those funds, Everett and Harriford refuse to return the sums advanced.

WHEREFORE, the Plaintiff, City of Columbia prays for judgment against the Defendant Harriford in the amount of $27,500.00 and Defendant Everett in the amount of $22,500.00, and for such other and further relief in favor of this Plaintiff as the Court may deem just and proper, to include, but not be limited to, the costs of this action and attorney's fees.

COMPLAINT

The Plaintiff would show unto this Honorable Court:

1. That the Plaintiff and Defendant are residents of the County aforesaid, State of South Carolina, and last resided together as husband and wife in the County aforesaid, State of South Carolina, and are now and for more than three (3) months prior to the commencement of this action have been residents of the State of South Carolina.

2. That the Plaintiff and Defendant were lawfully married on or about the 1st day of September, 2001, and separated on June 8, 2005.

3. That no children were born of this marriage and that none are expected at this time.

4. That the parties have entered into a Separation Agreement date June 30, 2005.

5. That the Defendant has through out the marriage been habitually drunk and unable to function as a marriage partner.

That upon information and belief the Plaintiff is entitled to a divorce a vinculo matrimonii on the grounds of habitual drunkenness, or in the alternative, a Decree of Separate Support and Maintenance, confirming and incorporating the June 30, 2005, Separation Agreement as the order of the Court as to all matters addressed in it.

7. That there has been no collusion between the parties for the purpose of this divorce.

8. That on information and belief, the Plaintiff is entitled to a divorce a vinculo matrimonii on the grounds alleged above.

WHEREFORE, the Plaintiff prays for the Order of this Court as follows:

1. For a Decree of Divorce a vinculo matrimonii dissolving the marriage between the Plaintiff and Defendant on the grounds of habitual drunkenness, or in the alternative for a Decree of Separate Support and Maintenance.

2. That the June 30, 2005, Separation Agreement be confirmed and incorporated in the decree.

3. For such other and further relief as the Court deems necessary and proper.
